Vodafone and Three Announce Merger, Uniting to Form UK’s Largest Mobile Phone Network

In a significant development within the telecommunications industry, Vodafone and CK Hutchison Group, the owner of Three, have reached an agreement to merge their respective networks in the UK.

The merger aims to establish a European telecoms giant and create the largest mobile phone operator in Britain.

Following their October announcement of talks, the two companies have now unveiled the details of the merger, which generated a positive response in the market with Vodafone’s shares experiencing a 2.5 percent increase following the public disclosure of the deal.

Canning Fok, the co-managing director of CK Hutchison, expressed optimism about the merger, stating, “Together, we will have the scale needed to deliver a best-in-class 5G network for the UK, transforming mobile services for our customers and opening up new opportunities for businesses across the length and breadth of the UK.”

Under the agreement, Vodafone will hold a 51 percent stake in the combined group, with Hutchison owning the remaining 49 percent. Ahmed Essam, the current Vodafone UK boss, will assume leadership of the new group, while Darren Purkis, the UK finance chief of Three, will take on the same role within the merged entity.

With approximately 27 million customers, the consolidated operator will surpass BT’s EE and VM O2, jointly owned by Telefonica and Liberty Global, to become the largest mobile phone network in the UK. Prior to the merger, Three UK and Vodafone UK held the fourth and third-largest positions, respectively, in the UK market.

As with any major merger, the deal will undergo regulatory scrutiny, considering previous opposition to reducing the number of networks in significant markets from four to three. The merging entities have committed to investing £11 billion in the UK over a span of 10 years, with the aim of establishing one of Europe’s most advanced stand-alone 5G networks.
